Mergers & acquisitions

LCF Edmond de Rothschild provides a range of specialist M&A advisory services including:

  • Acquisitions
  • Disposals
  • Public offers
  • Bid defences
  • Joint ventures/strategic alliances

for quoted and non-quoted companies in the U.K. and in continental Europe.

LCF Edmond de Rothschild also has extensive experience of advising on MBOs and MBIs and has strong relationships with the private equity market. The corporate finance team advises management on buy-outs or buy-ins; and private equity funds on acquisitions and disposals.

LCF Edmond de Rothschild adopts a hands-on, team-based approach to all advisory work. Senior members of the team have extensive transaction experience and are involved at all stages of a transaction from initiation through to execution.

Debt and equity advisory services

LCF Edmond de Rothschild provides advice on equity and debt financing.

In smaller transactions, with simpler structures, this may involve advice on the arrangement and negotiation of senior debt and private equity. For larger acquisitions this is likely to involve more complex structures including mezzanine debt, syndicated senior debt, high-yield bonds and the public issue of equity.

LCF Edmond de Rothschild also advises on private placements to provide growth capital for non-quoted companies, accessing a network of institutional and other funds.

Strategic advice

In addition to transaction-specific advisory work, LCF Edmond de Rothschild will assist clients in reviewing their strategy. This may involve reviewing existing corporate strategy, business operations, proposed new activities and the appropriate capital structure for the company's business going forward. LCF Edmond de Rothschild provides corporate finance advice on a continuing basis and would expect to make a thoughtful and creative contribution to the development of a client's business.
